1. Nature of Engagement
MTdesk provides professional advisory and oversight services focused on strategy, systems, and brand integrity. We are not a law firm, accounting firm, or financial advisory firm. The information provided on this Site or during initial consultations is for professional insight only and does not constitute legal, tax, or regulated financial advice.
2. Client Responsibility & Due Diligence
By using this Site or our services, you acknowledge that:

Any organizational changes you implement based on our frameworks or conversations must be reviewed and approved by your own internal legal, HR, and finance departments.

You remain solely responsible for your organization’s compliance with local, state, and federal regulations.

Success is dependent on your organization’s execution; we do not guarantee specific ROI or outcomes.
3. Intellectual Property & Proprietary Frameworks
The frameworks, "Warning Signs" analysis, and advisory materials found on MTdesk are the intellectual property of MTdesk.

Permitted Use: You may view and download content for your own internal, non-commercial assessment.

Prohibited Use: You may not reproduce, sell, or create derivative works of our proprietary systems or branding materials without express written consent.
4. Payments & Service Agreements
Use of this Site does not constitute a formal advisory relationship. A client relationship is only established through a signed Statement of Work (SOW) or Engagement Letter.

All fees and payment schedules are governed by your specific SOW.

In the event of a conflict between these Site Terms and your signed SOW, the SOW shall prevail.
5. Limitation of Liability
To the fullest extent permitted by law, MTdesk and its officers (including Melissa Thayne) shall not be liable for any indirect, incidental, or consequential damages—including loss of profits or business reputation—arising from your use of this Site.

Liability Cap: Our total aggregate liability for any claims related to Site use is limited to $100 USD or the minimum amount permitted by law.

Specific liability and indemnity terms for paid advisory work are handled exclusively within your client contract.
6. Governing Law & Jurisdiction
These Terms are governed by the laws of the State of Alaska, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Site shall be resolved exclusively in the courts located in Anchorage, Alaska.
